1. Acceptance of Terms
You accept these Terms of Service by clicking "I Agree" when prompted. Continued use of the platform without an affirmative click does not constitute acceptance. If you do not agree to these terms, do not use Talent Scales.
2. Description of Service
Talent Scales Performance Intelligence Engine (TS PIE) is a performance management platform built around a Monthly Check-In Loop, continuous performance signal, and AI-assisted review tools. Talent Scales is not a learning management system and does not host or author training content.
3. Eligibility
You may use Talent Scales only if you are acting on behalf of an employer that has a commercial agreement with Talent Scales. If you are an individual employee, you access the platform through your employer's subscription. You cannot sign up for Talent Scales independently of an employer relationship.
4. Account Registration and Security
You are responsible for keeping your login credentials confidential and for all activity that happens under your account. Tell us immediately if you suspect unauthorized use of your account.
5. Relationship to Your Employer's Agreement
This is an important distinction. These Terms of Service govern your individual use of the platform. Your employer is bound separately, under its own commercial agreement with Talent Scales (a Master Service Agreement and Data Processing Agreement). Talent Scales acts as a service provider. Your employer is the data controller for your employment and performance data. Talent Scales does not control your HR data independently of your employer's instructions.
6. License Grant and Restrictions
Subject to these terms, Talent Scales grants you a limited, revocable, non-transferable license to access and use the platform for its intended purpose. This license does not permit any use restricted under the Acceptable Use Policy, which is incorporated into these terms by reference.
7. User-Submitted Content
Content you submit through the platform, including check-in responses, review text, and feedback, remains owned by your employer under the terms of your employer's commercial agreement with Talent Scales. By submitting content, you grant Talent Scales a license to use that content to operate and provide the service.
8. AI-Assisted Features Disclaimer
Talent Scales includes AI-assisted features, including the TS Coaching Assistant and TS Review Assistant, that inform performance conversations. These features are designed to support human judgment, not replace it. The platform does not make employment decisions. Any decision about hiring, promotion, compensation, discipline, or termination is made by your employer, not by Talent Scales or its AI-assisted features.
9. Intellectual Property
Talent Scales owns the platform itself, including its software, the TS PIE architecture, and the terminology and concepts that make up the Talent Scales Brand Lexicon. This is distinct from ownership of Client Data, which is addressed in the Data Processing Agreement between Talent Scales and your employer, not in these terms.
10. Termination
You may stop using the platform at any time. Talent Scales may suspend or terminate your access for violating these terms or the Acceptable Use Policy. Your access also terminates automatically when your employer's subscription ends.
11. Disclaimers and Warranty Limitations
The platform is provided "as is." Talent Scales does not guarantee uninterrupted or error-free access to the service.
12. Limitation of Liability
Because individual users are not the paying party under a Talent Scales subscription, liability related to the underlying commercial relationship is addressed in the Master Service Agreement and Data Processing Agreement between Talent Scales and your employer, not in these individual-user terms.
13. Governing Law and Venue
These terms are governed by the laws of the State of California. Any disputes will be resolved in the state or federal courts located in San Diego, California.
14. Changes to These Terms
We may update these terms from time to time. If we make a material change, you will be asked to re-accept the terms the next time you log in. Minor, non-material updates, such as clarifying language or fixing a typo, do not require re-acceptance, but the version number and effective date at the top of this page will always reflect the current version.
